TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your access to and use of the website https://unaati.com/ and any related services, applications, tools, features, APIs, content, or communications (collectively, the “Platform” or “Services”) provided by CBV Ventures Private Limited (hereinafter “CBV”, “Company”, “we”, “us”, “our”), a company incorporated under the laws of India. By accessing or using the Platform, you (“you”, “User”, “Seller”, “Buyer”, “Merchant”, “Retailer”, or “Vendor” as applicable) agree to be bound by these Terms and by our Privacy Policy which is incorporated herein by reference.
If you do not agree with any part of these Terms, please do not access or use the Platform.
1. DEFINITIONS
In these Terms:
Account means a registered account created on the Platform.
Buyer means a person or business that purchases goods/services on the Platform.
Seller / Merchant / Supplier means a person or entity that lists goods/services and supplies them to Buyers via the Platform.
KYC means Know-Your-Customer information and documents required for identity & business verification.
Order means any purchase order placed through the Platform.
Payment Partners / Gateways means third-party payment processors used to handle transactions.
Third-Party Services means services provided by entities not controlled by CBV (logistics providers, payment processors, KYC vendors, financing partners, etc.).
2. SCOPE OF TERMS
These Terms apply to:
All Users who access, register, or use the Platform.
All purchases, sales, listings, credit/financing facilities, and interactions conducted via the Platform.
Any content, information, or materials provided by CBV or other Users on the Platform.
Additional terms (e.g., Seller Agreement, Credit Agreement, Supplier Onboarding Terms) may apply to certain features; those additional terms form part of the agreement between you and CBV where relevant.
3. ELIGIBILITY
You represent and warrant that:
You are a natural person who is at least 18 years old, or a validly incorporated entity able to enter into binding contracts under applicable law.
You possess the legal right, authority and capacity to enter into and perform these Terms.
If you register on behalf of an entity, you are authorised to bind that entity and indemnify CBV for any acts by that entity.
4. ACCOUNT REGISTRATION, KYC & DOCUMENTATION
4.1 Account Creation
To use certain features, you must register for an Account and provide accurate, complete information. You agree to update information to keep it current.
4.2 KYC / Verification
For regulatory, risk or business reasons (including onboarding, payments, credit, GST compliance), CBV may require KYC documents (PAN, Aadhaar or other identity documents, business registration, GSTIN, bank details, cancelled cheque, utility bills, photographs). You agree to provide such documents and consent to verification with third-party KYC/verification providers.
4.3 Account Security
You are responsible for maintaining confidentiality of login credentials and for all activity on your Account. Notify CBV immediately of any suspected unauthorised access.
4.4 Suspension/Termination for Non-Compliance
CBV may suspend or terminate Accounts that fail KYC, provide false data, engage in prohibited activity, or otherwise breach these Terms.
5. LISTINGS, ORDERS & TRADE TERMS
5.1 Listings
Sellers are responsible for accurate product descriptions, pricing, images, GST/TAX details, stock availability, and compliance with applicable laws. CBV does not guarantee accuracy of Seller-provided content.
5.2 Orders & Acceptance
Buyers place Orders on the Platform. An Order is accepted when confirmed by the Seller (or by CBV where CBV acts as marketplace facilitator). CBV may cancel Orders for stock shortages, pricing errors, suspicious transactions, or non-compliance.
5.3 Pricing & Taxes
Prices are displayed on the Platform and are inclusive/exclusive of taxes as specified. Buyers are responsible for applicable taxes (GST, cess) unless otherwise stated. Sellers must collect and remit GST and provide valid tax invoices to Buyers as mandated by law.
5.4 Delivery & Logistics
Delivery timelines, shipping fees, and logistics providers will be specified at checkout. Responsibility for delivery, loss, or damage shall be as per the Seller Agreement or as agreed between Buyer and Seller. CBV may provide logistics facilitation but is not liable for logistics partner performance unless expressly stated.
5.5 Returns, Refunds & Cancellations
Return, refund and cancellation policies may vary by Seller, product category, or promotion. CBV shall display applicable return/refund terms at the point of sale. Disputes over refunds or returns between Buyer and Seller must follow the Platform’s dispute resolution process.
6. PAYMENTS, SETTLEMENTS & CREDIT
6.1 Payment Methods
Payments may be handled through Payment Partners. By making a payment, you authorise the payment processor to process the transaction.
6.2 Payment Disputes
Any payment-related disputes must be reported promptly. CBV will cooperate with banks/payment partners to investigate and resolve issues, but CBV’s liability is limited to the extent of its role.
6.3 Settlement to Sellers
Settlement cycles and settlement terms (T+N) for Sellers will be specified in Seller Agreements. CBV may hold funds for compliance checks, returns, chargebacks, or suspected fraud.
6.4 Credit / Financing Facilities
Where CBV or financing partners offer credit/working capital or buy-now-pay-later features, such facilities are governed by separate credit agreements. Credit is subject to evaluation, KYC, repayment terms, interest, charges and security as agreed. Default may result in suspension, collection action, and reporting to credit bureaus.
6.5 Fees & Charges
Platform fees, commissions, convenience fees, payment charges or other applicable fees will be indicated to users and may be amended on notice.
7. USER OBLIGATIONS & PROHIBITED CONDUCT
You agree not to:
Use the Platform for illegal or fraudulent purposes, including money laundering, financing unlawful activity, or evading regulatory requirements.
Upload or distribute content that is defamatory, infringing, obscene, pornographic, hateful, discriminatory, or otherwise unlawful.
Manipulate ratings, reviews, or transactions (fake orders, false KYC).
Attempt to gain unauthorised access to the Platform’s systems or interfere with its operation.
List or sell prohibited or restricted items (weapons, illicit drugs, illegal items, unapproved medical products) or any item banned by applicable law.
CBV reserves sole discretion to remove content, listings, or suspend users who breach these obligations.
8. INTELLECTUAL PROPERTY
8.1 Platform IP
All content, trademarks, logos, text, graphics, source code and materials on the Platform are the exclusive property of CBV or its licensors, protected by copyright, trademark and other laws. You must not reproduce, distribute, display or create derivative works without prior written permission.
8.2 User Content
By uploading or providing content (product information, images, reviews), you grant CBV a non-exclusive, irrevocable, royalty-free, worldwide license to use, adapt, reproduce, display and distribute that content to operate, promote and improve the Platform, including sublicensing to partners.
8.3 Trademark Use
You must not use CBV’s trademarks or logos without prior written consent.
9. REPRESENTATIONS & WARRANTIES
9.1 By using the Platform, you represent and warrant that:
Information you provide is accurate, complete and not misleading.
You have the legal capacity and authority to enter into contracts and to provide goods/services offered.
Products you list comply with all applicable laws, standards and safety requirements.
9.2 CBV DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED OR FREE FROM VIRUSES. ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
10. DISCLAIMERS & LIABILITY
10.1 DISCLAIMER
To the extent permitted by law, CBV expressly disclaims all warranties, whether express, implied, statutory or otherwise, including merchantability, fitness for a particular purpose, and non-infringement.
10.3 THIRD-PARTY LIABILITY
CBV is not the seller or buyer of goods unless expressly stated. CBV acts as a technology platform/facilitator; any contract for sale is directly between Buyer and Seller. CBV is not responsible for Seller’s non-performance, product quality, regulatory compliance, or delivery unless CBV has expressly warranted otherwise.
11. INDEMNITY
You agree to indemnify, defend and hold CBV and its affiliates, officers, directors, employees, agents and partners harmless from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising from:
Your breach of these Terms, representations or warranties;
Your violation of applicable law or third-party rights;
Claims related to product quality, safety, compliance, or intellectual property arising from items you supply or list.
12. CONFIDENTIALITY & DATA PROTECTION
12.1 Privacy Policy
Personal data is processed according to our Privacy Policy (https://unaati.com/privacy or link). By using the Platform you consent to the collection, use and disclosure of your personal data as described in that Policy.
12.2 Data Security
CBV uses commercially reasonable administrative, technical and physical safeguards to protect user data. However, no system is completely secure, and CBV is not responsible for security incidents beyond reasonable control.
12.3 Data Retention
Data retention and deletion follows our Privacy Policy and applicable law.
13. SUSPENSION, TERMINATION & ACCOUNT CLOSURE
13.1 Termination by User
You may close your Account by following the Platform’s closure process, subject to settlement of pending obligations, arrears, or disputes.
13.2 Suspension/Termination by CBV
CBV may suspend, restrict or terminate Accounts and access at any time for breaches, suspected fraud, legal requests, compliance failure, or for business reasons. CBV will endeavour to notify affected users where feasible.
13.3 Effect of Termination
Termination does not relieve you of outstanding obligations, fees, liabilities or indemnities. CBV may retain data as required by law or for legitimate business purposes.
14. DISPUTE RESOLUTION & GOVERNING LAW
14.1 Informal Resolution
In the event of disputes, both parties shall attempt to resolve by mutual discussion and informal negotiation.
14.2 Arbitration / Litigation
Any dispute, controversy or claim arising out of or relating to these Terms shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (India), unless otherwise specified. The tribunal shall consist of a sole arbitrator appointed by mutual consent; failing which, each party shall nominate one arbitrator and the two arbitrators shall appoint a presiding arbitrator. The seat of arbitration shall be New Delhi. Proceedings shall be conducted in English. The arbitral award shall be final and binding.
14.3 Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Subject to arbitration clause above, courts in New Delhi shall have exclusive jurisdiction.

We will acknowledge grievances within 24–48 hours and endeavour to resolve within 30 days (subject to complexity and legal constraints).
16. CHANGES TO TERMS
CBV may modify these Terms from time to time. Material changes will be notified to registered users via email, in-platform notification, or prominent notice on the Platform. Continued use after the effective date of changes constitutes acceptance of the revised Terms.
17. MISCELLANEOUS
17.1 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
17.2 Waiver
Failure to enforce any right or provision is not a waiver of such right.
17.3 Entire Agreement
These Terms (including referenced policies and additional agreements) constitute the entire agreement between you and CBV regarding the Platform.
18. THIRD-PARTY LINKS & SERVICES
The Platform may contain links to third-party websites or services. CBV is not responsible for their content, privacy practices, or terms. Use of third-party services is at your own risk and subject to such third parties’ terms.
19. FEES, COMMISSIONS & SERVICE CHARGES (FOR MERCHANTS)
Specific fee schedules (commission rates, listing fees, fulfillment charges, advertising fees, penalties) shall be provided in Seller Agreements or merchant dashboards. CBV reserves the right to change fees with notice; accruing fees remain payable.
20. INTELLECTUAL PROPERTY COMPLAINTS
If you believe content on the Platform infringes your IP rights, notify CBV’s designated IP grievance contact with sufficient details (identification of work, location of infringing material, statement of good faith, and authorised signatory). CBV will follow the takedown/counter-notice procedure as per applicable law.
21. FORCE MAJEURE
CBV shall not be liable for delay or failure in performance due to causes beyond reasonable control, including acts of God, strikes, pandemics, regulatory actions, internet failures, or natural disasters. CBV will take reasonable steps to resume performance.
22. REPRESENTATION ABOUT COMMUNICATIONS
By providing phone number and email, you consent to receive transactional messages, order updates, marketing messages (if opted in), and service communications. Standard rates may apply.
23. ACKNOWLEDGEMENT
By clicking “I Agree”, registering an Account, or using the Platform, you acknowledge that you have read, understood and accepted these Terms and agree to be bound by them.
